PLATFORM GUIDELINES AND CODE OF CONDUCT

 

1.         Purpose

The LAUBIN Conversations platform, or such other name as CLL may designate in its sole discretion (the “Platform”) exists to enable trusted collaboration and knowledge sharing; a confidential, respectful, and psychologically safe environment for individuals – particularly finance executives, accountants, and early-career professionals – to think through professional situations, ask questions, and gain perspective through conversation. The Platform is not a place to receive professional advice, instructions, or directives. It is a space for reflection, discussion, and thought partnership. By using the Platform, every member accepts these Guidelines and Code of Conduct as a condition of participation. These standards apply to all activity on the Platform, including messages, posts, comments, files, profiles, integrations, and any off-platform interaction that leverages Platform data or branding.
 

2.        Our Shared Principles

All Thought Partners and Users (collectively, “Participants”) are expected to uphold the following principles in spirit and practice:
  • Respect: Treat others with professionalism, courtesy, and dignity and respect in every interaction, even when there is disagreement.
  • Confidentiality: Protect the privacy of others and the integrity of the Platform.
  • Good Faith Participation: Engage honestly and constructively. Integrity and honesty in all representations, and statements.
  • Personal Responsibility: Own your decisions and actions inside and outside the Platform, with a willingness to correct and remediate harms
  • Non-Judgment: The Platform is not a forum for criticism, shaming, or superiority.
  • Inclusion and non-discrimination: Welcoming diverse perspectives and backgrounds.
 

3.      Scope of Permitted Use

Participants may:
  • Discuss professional scenarios in a general, non-identifying manner
  • Ask exploratory or reflective questions
  • Share personal perspectives and experiences
  • Seek clarification on concepts (without requesting advice or instructions)
  • Use the Platform to think aloud and gain insight
Participants may not:
  • Request or provide legal, accounting, tax, audit, financial, investment, HR, or regulatory advice
  • Ask for or provide step-by-step instructions or directives
  • Solicit opinions framed as professional recommendations
  • Use the Platform as a substitute for licensed professional services
  • Represent Platform conversations as professional advice in any external context
Participants on the Platform are expected to model these behaviors consistently and to intervene early when standards are at risk.
 

4.   Professional Boundaries

For Thought Partners Thought Partners must:
  • Maintain a non-directive, reflective posture
  • Avoid language such as “you should,” “you must,” or “the correct answer is”
  • Refrain from presenting opinions as facts or standards
  • Decline to answer questions that cross into professional advice
  • Redirect Users to appropriate licensed professionals when necessary
For Users Users must:
  • Understand that all conversations are informal and non-advisory
  • Avoid framing questions in a way that solicits professional opinions or instructions
  • Accept that differing viewpoints are part of the process
  • Take full responsibility for decisions made outside the Platform
 

5.   Prohibited Conduct

The following are strictly prohibited and may result in immediate suspension or removal:
  • Harassment, bullying, or abusive behavior, including threats, stalking, or targeted intimidation.
  • Discrimination or hate speech based on protected characteristics (e.g., race, gender, religion, nationality, disability, age, sexual orientation).
  • Sexualized content or behavior, including unwelcome advances, explicit material, or suggestive comments.
  • Fraud, misrepresentation, or deceptive practices in agreements, credentials, data, or communications.
  • Illegal activities of any kind, including money laundering, corruption, intellectual property infringement, or support for terrorism or organized crime.
  • Posting or distributing malware, malicious links, or attempts to compromise security or access controls.
  • Spam, bulk solicitation, or irrelevant promotion that does not serve the Platform’s stated purpose.
  • Unauthorized disclosure or commercialization of Platform data, member information, or confidential content.
  • Retaliation against any Participant for criticism, disagreement, feedback, or good-faith reporting of a violation of these Guidelines or any Platform agreement.

6.  Data, Confidentiality, and Acceptable Use

The Confidentiality Terms govern the detailed confidentiality obligations of all Participants. The following guidelines supplement those Terms. To protect all participants and the integrity of the ecosystem:
  • Use Platform data only for legitimate business purposes directly connected to your role and permissions.
  • Store and process data in line with your own organization’s compliance, privacy, and security obligations.
  • Do not attempt to reverse engineer, scrape, mine, or systematically export data beyond what is clearly permitted.
  • Do not share access credentials, tokens, or accounts; each user is individually responsible for activity under their account.
Where third-party integrations are used, members must ensure that any connected tools uphold equivalent or stronger standards for security, confidentiality, and lawful use.

7. Collaboration, Disagreement, and Feedback

The Platform is designed for constructive collaboration, not unanimity. When disagreements arise:
  • Focus on evidence, logic, and contractual terms rather than personal attributes or motives.
  • Offer criticism in a professional and solution-oriented way, seeking to clarify, improve, or de-risk a proposal.
  • Escalate material disputes through designated Platform workflows or agreed governance processes rather than public confrontation.
Feedback on the Platform itself is encouraged and should be directed through the specified support or governance channels, not through public disparagement of individuals or counterparties.

8.  Safe Space and Anti-Retaliation

8.1    Safe Space Principle

The fundamental value of the Platform is creating a safe, confidential environment for candid discussion. The safe harbor and liability protections applicable to each Participant are set forth in such Participant’s individual agreement with CLL (the Thought Partner Service Provider Agreement or the User Agreement, as applicable). All Participants agree that, to maintain this environment:
  • Thought Partners will not retaliate against Users for criticism, disagreement, or unfavorable feedback regarding brainstorming perspectives offered on the Platform;
  • Users will not publicly shame, disparage, or seek to damage the reputation of Thought Partners for brainstorming perspectives offered on the Platform, whether on the Platform or through any external channel; and
  • CLL will use commercially reasonable efforts to protect all Participants from harassment and retaliation in connection with Platform use, including by enforcing the standards set forth in Section 5 (Prohibited Conduct) and this Section 8.

8.2   Disagreement Protection

Honest disagreement is essential to meaningful thought partnership. Each Participant understands and agrees that:
  • Thought Partners may express unpopular, unconventional, or challenging views as part of the brainstorming process
  • Users may disagree with, question, or reject Thought Partner perspectives without consequence;
  • disagreement alone does not constitute harassment, discrimination, or a violation of these Guidelines and will not serve as a basis for account suspension or termination; and
  • the Platform values diverse perspectives and constructive discussion, and Participants are encouraged to engage with viewpoints that differ from their own.

8.3  Anti-Harassment

Notwithstanding the safe space and disagreement protection provisions of Sections 8.1 and 8.2, no Participant shall engage in:
  • sexual harassment, including unwelcome sexual advances, requests for sexual favors, or other verbal or physical conduct of a sexual nature;
  • discrimination or abusive conduct directed at any Participant based on race, color, religion, sex, national origin, age, disability, sexual orientation, gender identity, or any other characteristic protected by applicable law;
  • threats, intimidation, bullying, or stalking of any Participant, whether on the Platform or through off-Platform channels arising from Platform interactions; or
  • any pattern of conduct that a reasonable person would find hostile, abusive, or intended to silence legitimate participation.
Violations of this Section 8.3 may result in immediate account suspension or termination, in addition to any other remedies available under the Participant’s individual agreement with CLL. CLL will enforce professional conduct standards as set forth in these Guidelines and will investigate reported violations in accordance with Section 10 (Reporting, Enforcement, and Consequences).

8.4 Relationship to Other Provisions

This Section 8 supplements and does not limit the Prohibited Conduct provisions in Section 5, the Collaboration and Disagreement provisions in Section 7, or any safe harbor, indemnification, or liability provisions in a Participant’s individual agreement with CLL (the Thought Partner Service Provider Agreement or the User Agreement, as applicable). In the event of any conflict between this Section 8 and a Participant’s individual agreement, the individual agreement shall control with respect to legal rights and remedies, and these Guidelines shall control with respect to conduct standards and enforcement
 

9.   Psychological Safety and Wellbeing

The Platform is not designed to provide mental health counseling or crisis support. Participants must not:
  • Use the Platform for therapy or crisis intervention
  • Expect emotional or psychological treatment
If a Participant expresses credible risk of harm to themselves or others, CLL may take appropriate steps, including escalation or reporting, consistent with applicable law.

 

10.  Reporting, Enforcement, and Consequences Psychological Safety and Wellbeing

CLL reserves the right to:

  • Monitor participation for compliance with these Guidelines
  • Remove content that violates Platform standards
  • Suspend or terminate access with such notice, if any, as CLL determines appropriate in the circumstances
  • Restrict, limit, or permanently revoke participation privileges

Enforcement decisions are made at CLL’s sole discretion and are final.

CLL will enforce these Guidelines and Code of Conduct to protect the safety and integrity of the Platform:

  • Any member may report suspected violations via the in-platform reporting tools or designated contact channel.
  • Reports will be reviewed promptly, with appropriate discretion and confidentiality.
  • CLL may take actions including warnings, content removal, feature limitations, temporary suspension, or permanent removal of users or organizations.

Serious violations (including credible threats, fraud, or illegal activity) may be escalated to relevant organizations, regulators, or law enforcement as required by law or risk considerations.

Participants are encouraged to report:

  • Violations of this Code of Conduct
  • Behavior that undermines safety or trust
  • Boundary violations or misuse of the Platform

11. No Guarantee of Outcomes

The Company makes no guarantees regarding:
  • Quality or usefulness of conversations
  • Outcomes resulting from participation
  • Availability of specific Thought Partners
Participation is voluntary and at the Participant’s own risk.

12. Governance, Changes, and Acceptance

By accessing or using the Platform, Participants acknowledge that they have read, understood, and agree to abide by these Platform Guidelines and Code of Conduct, in addition to all applicable agreements. Failure to comply may result in immediate removal from the Platform. These Guidelines and Code of Conduct are overseen by CLL and may be updated as risk, regulation, and community needs evolve. Material changes will be communicated through the Platform or by email, and continued use constitutes acceptance of the updated terms.
